Questa-AI Terms & Conditions

1.1These Terms & Conditions ("Agreement") are entered between you ("User" or "you") and El-monde Inc ("Company"), a private joint stock company incorporated in the State of Delaware in the United States of America, with registered address at 1013 Centre Rd Ste 403A, Wilmington, Delaware 19805-1270, United States.

1.2This Agreement governs your access to and use of the Questa-AI platform, including its SaaS dashboard, API, enterprise deployments, cloud services, and downloadable software that can be hosted physically or virtually on any premise (collectively, the "Software" or "Services"). By accessing, using, installing, or integrating the Software, you acknowledge that you have read and agree to be bound by this Agreement.

1.3If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind such entity.

2.1"SaaS Services" means the software built and hosted version of the Software operated by El-monde, Inc.

2.2"API Services" means programmatic access to the Software via API keys, usage quotas, and developer integrations.

2.3"Enterprise Deployment" means a private-cloud, virtual private server (VPS), or on-premises installation licensed by a customer El-Monde Inc.

2.4"Licensee" means the individual (natural persons) or organizations (legal persons) using the Software.

2.5"Data" means all data submitted, generated, processed, or stored via the Software.

3.1Type 1 — SaaS Web Platform: Hosted cloud access via https://www.questa-ai.com. Processing and storage occur on secure European data centers compliant with GDPR.

3.2Type 2 — API Access: Access to the Software via authenticated API calls. Users must secure API keys and comply with usage limits and security requirements.

3.3Type 3 — Enterprise Deployment: Dedicated cloud or on-premises implementation. Additional service-level terms, technical requirements, and support agreements may apply.

4.1Subject to compliance with this Agreement and payment of all applicable fees, El-monde, Inc. grants Licensee a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to: Access the SaaS platform, Use the API within purchased limits, Deploy enterprise versions under the agreed contract. All rights not expressly granted are reserved.

5.1Licensee shall not: Modify, copy, reverse engineer, disassemble, decompile, decrypt, or create derivative works from the Software in any shape or form including any harmful or abusive activity, exploiting known security vulnerabilities, deliberately degrading the platform performance. Use the Software for harmful, malicious, or illegal purposes, including hacking, malware creation, or data exploitation. Attempt to bypass authentication, rate limits, security mechanisms, or licensing controls. Use automation to scrape, overload, or degrade service performance. Infringe intellectual property, privacy, or data rights of others. El-monde, Inc. reserves complete rights to suspend access for any violation in any shape or form as the management deems appropriate without refund.

6.1Users must: Maintain confidentiality of passwords, API keys, and enterprise tokens. Notify El-monde of unauthorized access immediately. Ensure only authorized personnel access the Software. Comply with MFA, IP locking, and cybersecurity rules where required. Licensee is responsible for all activities under its account. El-Monde is not responsible for account safety and consequences of interpreting the results obtained on the platform (See Section 12).

7.1Data Storage in Europe: All customer data processed by the SaaS Services is stored exclusively in secure European data centers in compliance with GDPR.

7.2Data Controller & Processor Roles: For SaaS Services, El-monde, Inc. acts as a Data Processor. For API Services, roles depend on customer usage patterns. For Enterprise Deployments, Licensee may act as the primary Data Controller.

7.3Data Processing Agreement (DPA): A GDPR-compliant DPA is available upon request and forms part of this Agreement when executed.

7.4Data Subject Rights: Licensee may request: Access, correction, deletion, or export of their personal data, Restriction of processing where legally applicable. Requests may be made via infor@questa-ai.com.

7.5Security Measures: El-monde, Inc. implements: Encryption in transit and at rest, Access control and logging, Redundancy and failover systems, Regular testing.

8.1El-monde, Inc. may provide: Personal AI Assistant support, Email or ticket-based support, Scheduled updates, improvements, bug fixes, Security patches and feature upgrades. Enterprise customers may have additional priority support tiers defined in their contract.

9.1All rights, title, and interest in the Software, including algorithms, models, UI elements, and documentation, remain the exclusive property of El-monde, Inc. Feedback submitted by Licensee may be used freely without obligation.

9.2IP Owner: As between the Company and you, the Company (and/or its licensors) is the sole and exclusive owner, and will retain all rights, title, and interest in and to the Services. You will not own any portion of the Services in any form. You will not copy or store any portion of the Services other than for their intended fair usage without prior written permission from El-Monde, or from the copyright holder.

9.3Proprietary Assets: All trademarks, service marks, and trade names that appear on the Services are proprietary to the Company or third parties. You will abide by all copyright notices and restrictions contained in the Services which are protected at any time, by any applicable intellectual property rights and regulations as per European Union laws, Estonian laws, and any other relevant international law as applicable from time to time. Subject to the terms and conditions of this Agreement, El-Monde Inc grants you and your Authorized Users a nonexclusive, non-transferable right and license (without right to sublicense) to access and use the Services, solely for you and your Authorized Users' business purposes.

9.4Scope of Rights with Proprietary Assets: Except as provided in this Section, you may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the Services in whole or in part. Additionally, you will not attempt to circumvent any of the Company's technical measures, or decompile, reverse engineer, or disassemble the Services. The Agreement does not grant you any right, title, or interest, neither partly nor fully, in the Services, El-Monde Inc trademarks, logos or other brand features.

10.1Fees are defined in your order, subscription, or enterprise contract. Fees are exclusive of VAT or other applicable taxes. Late payments may incur interest and service suspension. All payments are non-refundable unless required by law.

11.1To the maximum extent permitted by law: El-monde, Inc.'s liability is limited to the fees paid by Licensee in the preceding 12 months; El-monde is not liable for indirect, incidental, special, reliance, or consequential damages, including loss of data.

12.1Disclaimer: El-Monde has no special relationship with or fiduciary duty to you. You acknowledge that El-Monde has no control over, and no duty to take any action regarding: which end users gain access to the Services; what results you may obtain via the Services; what effects the Services may have on you; how you may interpret or use such results; or what actions you may take because of having been exposed to the Services. You release El-Monde from all liability for your having acquired or not acquired Services and content and results through the Services. El-Monde does not manage or control any business or individual that you may interact with through the Services, and El-Monde accepts no responsibility or liability for any act or omission by such entity. You hereby waive all legal or equitable rights or remedies you have or may have against El-Monde with respect to acts and omissions by such entities.

12.2Warranties: The Services may contain, or direct you to sites containing, information that some people may find offensive or inappropriate. El-Monde Inc makes no representations concerning any content contained in or accessed through the Services, and El-Monde will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12.3TO THE FULLEST EXTENT ALLOWED BY LAW, EL-MONDE INC DISCLAIMS ANY LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, RELIABILITY, AVAILABILITY, COMPLETENESS, LEGALITY OR OPERABILITY OF THE MATERIAL PROVIDED THROUGH THE SERVICES. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT EL-MONDE IS NOT RESPONSIBLE OR LIABLE FOR ANY HARM RESULTING FROM: (a) USE OF THE SERVICES; (ii) DOWNLOADING INFORMATION CONTAINED ON THE SERVICES; (iii) UNAUTHORIZED DISCLOSURE OF PERSONAL INFORMATION OR DATA THROUGH THE SERVICES; AND (iv) THE INABILITY TO ACCESS OR RETRIEVE ANY DATA FROM THE SERVICES, INCLUDING, WITHOUT LIMITATION, HARM CAUSED BY VIRUSES OR ANY SIMILAR DESTRUCTIVE PROGRAM.

13.1El-monde, Inc. may terminate this Agreement immediately if Licensee: Breaches the Agreement, Violates safety or compliance rules, Fails to pay required fees. Upon termination, Licensee must: Stop all use of the Software, Destroy or delete all installed versions, Remove API credentials. Surviving clauses include IP, liability, privacy, safe use, and payment obligations.

14.1This Agreement is governed by the laws of the State of Delaware, USA. Disputes shall be resolved exclusively in state or federal courts located in the State of Delaware, United States.
